Terms & Conditions of Sale

02Quotes and Orders

  1. 2.1All quotes are estimates and do not constitute a binding offer until accepted in writing by the Customer and confirmed by DPS.
  2. 2.2Quoted prices are valid for 14 days from the date of issue, unless otherwise stated on the quote itself. After this period, DPS reserves the right to requote at current pricing.
  3. 2.3An order is only confirmed once the Customer has accepted the quote in writing and DPS has received payment in accordance with Section 3.
  4. 2.4DPS reserves the right to decline any order at its discretion, including where stock cannot be secured at the quoted price.

03Pricing and Payment

  1. 3.1All prices are quoted in pounds sterling and are exclusive of VAT unless stated otherwise.
  2. 3.2Payment is required in full before an order is placed for fulfilment. DPS does not offer credit accounts.
  3. 3.3DPS reserves the right to withhold placing an order until cleared funds have been received.

04Retention of Title

  1. 4.1Ownership of the goods remains with DPS until payment has been received in full.
  2. 4.2Until ownership passes, the Customer holds the goods as bailee for DPS and must keep them reasonably safe and identifiable as DPS's property.
  3. 4.3If payment is overdue, DPS reserves the right to recover unpaid goods, and the Customer grants DPS reasonable access to do so.

05Cancellation

  1. 5.1Once an order has been confirmed and DPS has committed funds or stock on the Customer's behalf, cancellation may not be possible without cost.
  2. 5.2If the Customer cancels after DPS has placed the order and it has been processed, the Customer is liable for the costs DPS has already incurred.
  3. 5.3Where cancellation is possible, DPS reserves the right to charge a cancellation fee to cover administrative and handling costs.

06Delivery

  1. 6.1Delivery dates provided at quote or order stage are estimates. DPS will make reasonable efforts to meet them but they are not guaranteed.
  2. 6.2The Customer is responsible for ensuring suitable site access for delivery, including confirming at quote stage whether specialist access, such as forklift access, is required.
  3. 6.3Where a delivery fails due to inadequate access or the Customer being unavailable to receive it, DPS reserves the right to charge a reasonable redelivery fee.
  4. 6.4Risk in the goods passes to the Customer on delivery, evidenced by a signed delivery note.

07Substitutions

  1. 7.1Where a specified plant becomes unavailable, DPS will offer an equivalent alternative for the Customer's approval before any change is made to the order.

08Plant Guarantee and Complaints

  1. 8.1DPS provides a guarantee against defective stock for a period of 30 days from the date of delivery, subject to the conditions below.
  2. 8.2The Customer must inspect stock on delivery and notify DPS of any issue within 30 days, with photographic evidence, to be eligible for a replacement or credit.
  3. 8.3This guarantee does not cover damage or failure caused by inadequate planting, watering, maintenance, or site conditions after delivery, or by circumstances outside DPS's control, including adverse weather.
  4. 8.4Where a valid claim is accepted, DPS's sole obligation is to arrange a replacement or issue a credit toward the Customer's next order, at DPS's discretion.

09Liability

  1. 9.1Nothing in these terms excludes or limits DPS's liability for death or personal injury caused by negligence, or for fraud.
  2. 9.2Subject to clause 9.1, DPS's total liability arising from any order is limited to the value of that order.
  3. 9.3DPS is not liable for indirect or consequential losses, including loss of profit, loss of contract, or delay costs incurred by the Customer.
  4. 9.4DPS is not liable for delays or failures caused by circumstances outside its reasonable control, including delays affecting its own suppliers or growers, adverse weather, or transport disruption.

10Force Majeure

  1. 10.1DPS is not in breach of these terms, and is not liable for delay or failure to perform, where this is caused by events outside its reasonable control.

11General

  1. 11.1If any part of these terms is found unenforceable, the remaining terms continue to apply.
  2. 11.2These terms, together with the applicable quote and order confirmation, form the entire agreement between DPS and the Customer for that order.
  3. 11.3These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the English courts.
